Premier Portal: Confidentiality Terms

Please read the following confidentiality terms carefully before accessing the Premier online portal. By
accessing the portal, you agree to be bound by these provisions, which supplement your Affiliate
Supplies Agreement with Premier Orthodontic Practices LLC (“Premier”).

Confidential Information: “Confidential Information” means all non-public or proprietary information that Premier treats as
confidential, whether or not marked as such. This includes, but is not limited to, the Premier Program,
supplier and affiliate information, pricing, and transaction data. All Confidential Information remains
the exclusive and sole property of Premier.

Use & Disclosure Restrictions: You agree to treat all Confidential Information as strictly confidential, proprietary, and trade secret information of Premier. You shall not divulge it to third parties or use it in any commercial manner
outside the scope of your agreement. You may only restrict disclosure to your managers, officers,
employees, independent contractors, and advisors who require the information to perform your
obligations.

Exclusions & Legal Requirements: These obligations do not apply to information that is generally available to the public, already known to you, obtained from a third party without restriction, or independently developed by you. If you are legally required to disclose information, you must provide Premier with prompt notice to seek a protective order and furnish only the portion legally required.

Survival & Return: These obligations survive the termination or expiration of your agreement for a period of thirty-six (36) months, except for trade secrets, which remain confidential indefinitely. Upon termination, you must return or certify the destruction of all Confidential Information.

Equitable Relief: You acknowledge that money damages may be insufficient for any breach of these provisions. Premier shall be entitled to seek specific performance and injunctive relief as a remedy for any breach, and you waive any requirement for Premier to post a bond or show actual monetary damages.
